By accessing or using the Emberhop service (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms, in which case "you" refers to that entity. If you do not agree to these Terms, do not use the Service. These Terms constitute a legally binding agreement between you and Emberhop ("Emberhop", "we", "us", or "our").
Emberhop is a document embedding and analytics platform. The Service allows you to upload documents, generate embeddable viewers for those documents, capture leads from document viewers, and access engagement analytics including page views, time on page, and lead submission data. The Service is provided as a software as a service (SaaS) offering hosted on infrastructure located within the European Union.
You are solely responsible for all content you upload, publish, or otherwise make available through the Service ("User Content"). You warrant that: (a) you own all rights to your User Content or have obtained all necessary licences, consents, and permissions to upload and distribute it; (b) your User Content does not violate any applicable law or regulation; (c) your User Content does not infringe the intellectual property rights, privacy rights, or any other rights of any third party; and (d) you will comply with all applicable laws in your use of the Service, including data protection laws applicable to any personal data you collect through the lead capture functionality.
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify Emberhop immediately at support@emberhop.com if you suspect any unauthorised use of your account.
You may not use the Service to upload, store, transmit, or distribute any content that:
Emberhop reserves the right to remove any content that violates these prohibitions and to suspend or terminate the relevant account without notice.
You retain all intellectual property rights in your User Content. By uploading User Content to the Service, you grant Emberhop a limited, non-exclusive, royalty-free licence to store, process, and display your User Content solely to the extent necessary to provide the Service to you.
Emberhop retains all intellectual property rights in the Service itself, including the software, platform, algorithms, user interface, documentation, and all associated technology. Nothing in these Terms transfers any ownership of the Service or its underlying technology to you. You may not copy, modify, reverse-engineer, decompile, or create derivative works of the Service or any part of it.
Access to certain features of the Service requires payment of a subscription fee. Subscription fees are charged in advance on a monthly basis. All fees are stated in euros (EUR) and are exclusive of value-added tax (VAT) or other applicable taxes, which will be added where required by law.
You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. Emberhop does not offer refunds for unused portions of a subscription period except where required by applicable law. If your subscription is cancelled mid-period due to a violation of these Terms by Emberhop, you will receive a prorated refund for the unused remainder of the current billing period.
Emberhop reserves the right to change subscription prices by providing at least 30 days' prior written notice. Continued use of the Service after a price change takes effect constitutes acceptance of the new price.
Your use of the Service is subject to Emberhop's Privacy Policy, which is incorporated into these Terms by reference. The Privacy Policy describes how Emberhop collects, uses, and protects personal data in connection with the Service. By using the Service, you acknowledge that you have read and understood the Privacy Policy.
To the maximum extent permitted by applicable law, Emberhop's total aggregate liability to you for any claims arising out of or relating to these Terms or the Service — whether in contract, tort (including negligence), strict liability, or otherwise — shall not exceed the total fees paid by you to Emberhop in the two (2) months immediately preceding the event giving rise to the claim.
In no event shall Emberhop be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to loss of profits, loss of revenue, loss of data, loss of goodwill, or business interruption, even if Emberhop has been advised of the possibility of such damages.
Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, the foregoing limitations shall apply to the fullest extent permitted by law.
The Service is provided on an "as is" and "as available" basis, without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. Emberhop does not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components. Emberhop makes no guarantee regarding uptime, availability, or the accuracy of any analytics data provided through the Service.
You use the Service at your own risk. You are solely responsible for any damage to your systems or loss of data resulting from your use of the Service.
Emberhop may suspend or terminate your account and your access to the Service immediately, without prior notice or liability, if you breach any provision of these Terms. In particular, Emberhop will take immediate action in response to the upload of prohibited content as described in Section 4.
You may cancel your account at any time through your account settings or by contacting support@emberhop.com. Upon cancellation, your right to use the Service will end at the conclusion of the current billing period.
Upon termination of your account for any reason, Emberhop will delete your User Content and account data in accordance with the retention schedule set out in the Privacy Policy.
Emberhop reserves the right to modify these Terms at any time. If we make material changes to these Terms, we will notify you by email at least 30 days before the changes take effect. Your continued use of the Service after the effective date of the updated Terms constitutes your acceptance of those changes. If you do not agree to the updated Terms, you must stop using the Service before the effective date.
These Terms shall be governed by and construed in accordance with the laws of the Netherlands, without regard to its conflict of law provisions. Any disputes arising out of or in connection with these Terms or the Service shall be subject to the exclusive jurisdiction of the competent courts of Amsterdam, the Netherlands.
